2. Definitions

• Platform refers to the WOD Lane website and services.
• Organizer refers to any user who creates and manages competitions on the Platform.
• Athlete refers to any user who registers to participate in a competition.
• User refers to any person accessing the Platform, whether Organizer or Athlete.

3. Acceptance of Terms

By creating an account or using WOD Lane, you accept these Terms of Service in full. If you do not agree with any part of these terms, you must not use the Platform.

4. Description of the Service

WOD Lane is an online platform that enables Organizers to create fitness competitions and manage registrations, and enables Athletes to discover events and register for them. Payments for registrations are processed via Stripe Connect: each Athlete payment is collected directly on the Organizer's own Stripe account, and Nutshell Lab retains a platform fee on each transaction. Organizers receive funds from their own Stripe account on their chosen Stripe payout schedule; Nutshell Lab does not hold or disburse registration funds.

WOD Lane acts solely as an intermediary between Organizers and Athletes. Each Organizer is the merchant of record for the registrations it sells on the Platform. Nutshell Lab is not the organizer of any competition listed on the Platform and bears no responsibility for the conduct, safety, or quality of events.

5. User Accounts

To use the Platform, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and up-to-date information. Nutshell Lab reserves the right to suspend or terminate accounts that contain false information or that violate these Terms.

6. Registration and Payments

When an Athlete registers for a competition, payment is processed through Stripe and collected directly on the Organizer's Stripe account. The registration is confirmed only after successful payment. Registration fees are set by the Organizer and are inclusive of any applicable value-added tax (TVA) that the Organizer is required to collect.

A platform fee is added to each registration. This fee is routed to Nutshell Lab automatically by Stripe at the moment of payment and covers the operation of the Platform. The platform fee structure is displayed before checkout.

Because each Organizer collects payments on their own Stripe account, the Organizer is the legal seller of the registration and is solely responsible for invoicing, tax remittance, and any consumer-law obligations attached to the sale under their jurisdiction.

7. Cancellations and Refunds

Refunds are issued against the Organizer's Stripe account (where the original payment was collected). Stripe processing fees on the original charge are not reimbursed by Stripe and are therefore not refundable by the Platform. The refund rules below depend on which party caused the cancellation.

Cancellation attributable to the Athlete or their team: If a registration is cancelled at the Athlete's or their team's request, or automatically because a team member failed to complete payment within the allotted deadline (split payments), the Athletes who paid are refunded the registration base price. The platform service fee is not refunded: it remunerates the intermediation service (reservation of the spot, team invitations, payment processing, reminders) which has already been performed by the time of the cancellation.

Cancellation attributable to the Organizer: If the Organizer cancels a confirmed registration on their own decision, or cancels the competition altogether, the Athletes concerned are refunded the full amount they paid, service fees included. In that case the service-fee portion of the refund is borne by the Organizer and debited from the Organizer's Stripe balance; the Organizer accepts this as a condition of selling registrations through the Platform.

Automatic cancellations (system-initiated): If a registration is cancelled automatically by the Platform because of a technical failure that left a payment in an inconsistent state with its registration, the Athlete receives a full refund of the amount they paid, and the platform fee is refunded alongside the charge at the Platform's expense. In these cases the Platform could not deliver the service the Athlete paid for.

Refunds always cover the scope defined above in a single operation; partial or discretionary refunds through the Platform are not supported. Refunds are processed through Stripe to the original payment method. Nutshell Lab will make reasonable efforts to facilitate refunds but is not liable for delays caused by payment processors; refund timing (typically 5 to 10 business days) is controlled by Stripe and the Athlete's bank.

Right of withdrawal: In accordance with Article L221-28 12° of the French Consumer Code, the 14-day right of withdrawal does not apply to leisure activities scheduled for a specific date, which includes competition registrations sold through the Platform. Cancellations are therefore governed exclusively by the rules of this section and any additional refund policy stated by the Organizer.

8. Organizer Obligations

As an Organizer, you agree to:

• Provide accurate competition information (dates, location, rules, pricing).
• Comply with all applicable local laws and regulations, including safety requirements and permits.
• Honor registrations and the stated refund policy.
• Hold adequate insurance for your event. Nutshell Lab does not provide event insurance.
• Complete Stripe Connect onboarding, including identity verification and bank account details, before publishing a paid competition. Your Stripe account will receive Athlete payments directly; Nutshell Lab does not hold, clear, or manually disburse registration funds. Payouts from your Stripe account to your bank follow the schedule and terms you configure with Stripe.
• Collect, declare, and remit any applicable value-added tax (TVA), sales tax, or equivalent on the registrations you sell through the Platform. The Platform provides the payment infrastructure; tax compliance for your sales is your responsibility, as they are collected on your own Stripe account.

9. Athlete Obligations

As an Athlete, you agree to:

• Provide accurate personal information during registration.
• Meet the eligibility requirements set by the Organizer (age, qualifications, etc.).
• Read and accept any competition-specific waiver before completing registration.
• Participate at your own risk. Nutshell Lab is not responsible for injuries sustained during competitions.

10. Limitation of Liability

Nutshell Lab provides the Platform "as is". To the maximum extent permitted by French law, Nutshell Lab shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform.

Nutshell Lab is not responsible for the content posted by Organizers, the quality or safety of competitions, or any disputes between Organizers and Athletes.

11. Intellectual Property

All content, design, and code of the WOD Lane Platform are the property of Nutshell Lab and are protected by French and international intellectual property laws. Users retain ownership of the content they upload to the Platform.

12. Termination

Nutshell Lab reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or causes harm to the Platform or other Users. You may close your account at any time by contacting us.

13. Modifications

Nutshell Lab may update these Terms at any time. Users will be notified of material changes via email. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by French law. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Lille, France.
